Capital Markets Law Foundations (Sermaye Piyasası Hukuku)
A practical introduction to Turkish capital markets law, covering how securities are issued, how public companies are governed, and how the regulatory framework actually works.
About this course
Most people who work near financial markets know the rules exist. Fewer understand where those rules come from, how they connect, or why they were designed the way they were. This course fixes that. Starting from what a capital market is and how Turkish capital markets law developed, you build a working map of the entire regulatory system before the details ever appear.
The course moves through three connected areas. First, the foundations: what the capital market does, how it differs from other markets, and what the hierarchy of legal sources looks like in practice, from the Constitution down to Board decisions. Second, the transaction layer: how securities are issued, what distinguishes a public offering from a private sale, and why the prospectus sits at the center of investor protection. Third, the institutional layer: how publicly held companies are governed, what shareholder protection tools actually do, and how the Capital Markets Board (SPK) is structured and enforces its rules, including the line between administrative fines and criminal liability for things like insider trading.
By the end, you will be able to read a Turkish capital markets regulation and understand what problem it is solving and who it binds. That kind of structural understanding is what separates someone who knows the rules from someone who can work with them.
